TERMS AND CONDITIONS OF USE

1) Who we are and how these terms work
This website (the “Website”) is operated by Norale Property Solutions Ltd (Company No. 15046928), 3rd Floor, 86–90 Paul Street, London EC2A 4NE, VAT 450 6712 07 (“Norale”, “we”, “us”, “our”).

Norale Academy (the “Academy”) is our online training and digital content platform.
The Academy provides access to courses, learning materials, downloadable resources and related tools, delivered via a learning management system (“LMS”).
What these Terms cover
These Terms govern your use of this Website, including:
• browsing and accessing content;
• submitting enquiries or forms;
• creating and using user accounts;
• accessing the LMS or academy;
• enrolling in online courses; and
• purchasing or accessing digital content, resources and training materials.
By using the Website, creating an account, accessing the Academy, enrolling in any course, or purchasing any digital content, you agree to these Terms. If you do not agree, you must not use the Website or Academy.
Important: property and professional services are governed separately
These Terms do not govern the provision of professional services delivered by Norale, including (but not limited to):
• lettings and property management services;
• inventory, inspection and compliance-related services;
• floor plans, photography, virtual tours and visual marketing services;
• maintenance, refurbishment or project-based works; and
• any other services provided on a job-by-job or contract basis.
All such services are provided subject to separate, service-specific Terms of Business, contracts or written agreements, which are issued and agreed independently before those services are delivered.
Nothing in these Terms creates a contract for services, nor does it replace or override any signed agreement or service-specific terms relating to those services.
Related policies
These Terms incorporate by reference:
• the Website Privacy Policy and Cookie Policy; and
• the Property Services Privacy Notice (for how we process personal data when delivering lettings, management and related services).
Hierarchy and precedence (important)
If there is any conflict:
• these Terms govern use of the Website, Academy, courses and digital content;
• any signed client agreement or service-specific terms govern property-related services (including lettings, management, inventories, inspections, floor plans, photography, virtual tours or building services); and
• service-specific privacy notices govern personal data processing for those services.
2) Eligibility & accounts
• The Website is intended for users aged 16 years and over.
• To create an account, enrol in courses or purchase paid digital content through the Academy, you confirm that you are 18 years or older, or that you have the consent of a parent or legal guardian.
• When creating an account, you agree to provide accurate, current and complete information, and to keep your account details up to date.
• Your account is personal to you. You are responsible for keeping your login credentials secure and must not share your account or allow others to access it.
• You are responsible for all activity carried out under your account, whether on the Website or within the Academy or LMS.
• We may suspend, restrict or terminate accounts where we reasonably believe that these Terms have been breached, security or legal risks arise, fraudulent activity is suspected, or access to the Academy or digital content is misused.
3) The Portal, Academy, courses and digital content
Scope of content
“Courses” and “Digital Content” include (without limitation) videos, text-based materials, interactive learning modules, assessments, quizzes, SCORM content, downloadable files, templates, certificates and any other learning or reference materials made available through the Academy or its associated learning management system (“LMS”).
Licence to use
• When you purchase or are granted access to Courses or Digital Content, we grant you a personal, non-exclusive, non-transferable and revocable licence to access and use that content solely for your own personal or professional development, subject to these Terms and any course-specific terms displayed at checkout or within the Academy.
• No ownership rights are transferred to you. All intellectual property remains owned by Norale or its licensors.
No sharing or redistribution
• You must not copy, record, scrape, reproduce, distribute, publicly share, resell, sublicense or otherwise make Courses or Digital Content available to any third party.
• Access is strictly limited to the individual account holder. Sharing login credentials or content may result in immediate suspension or termination of access without refund.
Access duration and updates
• Access periods (for example, fixed-term access, lifetime access or access for the duration of a subscription) are clearly shown at checkout or within the Academy.
• We may update, modify or replace content from time to time to keep materials accurate, current or improved. Such updates do not entitle you to a refund unless required by law.
Certificates
• Certificates (where offered) confirm course completion only.
• Certificates do not constitute professional accreditation, licensing, certification or qualification unless expressly stated otherwise.
Academic integrity and conduct
• Cheating, plagiarism, misuse of materials or abusive conduct within the Academy may result in revocation of certificates and/or access to Courses or Digital Content, without refund.
4) Orders, pricing, subscriptions & refunds
Prices and VAT
• Prices for Courses and Digital Content are displayed inclusive or exclusive of VAT, as clearly stated at checkout.
• Where VAT applies, it is charged in accordance with UK VAT legislation.
Payments
• Payments are processed securely via our appointed payment processors.
• By placing an order, you authorise us (or our payment processor) to charge your selected payment method for the total amount shown at checkout.
• Failed, reversed or disputed payments may result in suspension or withdrawal of access to Courses or Digital Content until the issue is resolved.
Subscriptions (if offered)
• Where Courses or Digital Content are offered on a subscription basis, subscriptions renew automatically at the stated interval unless cancelled before the renewal date.
• You may cancel a subscription at any time before renewal to avoid future charges.
• No partial refunds are provided for subscription periods already started, unless required by law.
Consumer cancellation rights (digital content)
• Under the Consumer Contracts Regulations 2013, you generally have a 14-day right to cancel digital purchases made online.
• For the purposes of digital content, supply begins when access is provided, including (without limitation) access to the Academy, a course area, downloadable materials, an enrolment key, login credentials, or any other mechanism that enables you to access the purchased content.
• Where you expressly consent to immediate access to digital content at checkout, and acknowledge that supply begins immediately, your right to cancel is lost once access is provided.
• By completing a purchase and accessing digital content, you acknowledge and agree to this.
Refunds and errors
• Except where required by law, no refunds are available once access to digital content has been provided.
• If a pricing error, technical error or content description error occurs, we reserve the right to correct the error and, where appropriate, offer a refund or alternative solution.
5) Acceptable use
You must not use the Website or Academy in any way that is unlawful, abusive, misleading or harmful.
In particular, you must not:
• use the Website or Academy in breach of any applicable law or regulation;
• infringe, misuse or violate our intellectual property rights or the rights of others;
• attempt to gain unauthorised access to any part of the Website, Academy, LMS, user accounts, systems or data;
• upload, transmit or distribute malware, malicious code or anything intended to disrupt or compromise system security;
• scrape, crawl, mine, harvest or systematically extract data, content or user information;
• share, disclose, sell, sublicense or otherwise make available your account, enrolment key, login credentials or purchased content to any third party;
• copy, record, reproduce or use Academy content to create or support a competing product, course, service or business;
• interfere with, overload or impair the operation of the Website, Academy or related systems;
• harass, abuse, threaten or otherwise act inappropriately towards other users or our staff.
We may restrict, suspend or terminate access to the Website or Academy, with or without notice, where we reasonably believe that:
• these Terms have been breached;
• misuse, abuse or unauthorised sharing has occurred;
• security, legal or compliance risks arise; or
• it is necessary to protect users, systems or our legitimate business interests.
Such action does not affect any other rights or remedies available to us under these Terms or applicable law.
6) Intellectual property
All intellectual property rights in the Website, Academy, LMS, courses, videos, text, interactive learning materials, SCORM content, downloadable files, templates, guides, certificates, logos, branding and related materials are owned by Norale or our licensors.
Except for the limited licence expressly granted under these Terms, no intellectual property rights are transferred to you.
Licence to use digital content
When you purchase or access Courses or Digital Content, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use that content solely for your own personal or internal professional use, subject to these Terms and any course-specific terms shown at checkout.
You must not, without our prior written consent:
• copy, reproduce or record content (except where explicitly permitted);
• share, distribute, resell or sublicense content to third parties;
• use content to train others or build competing products or services; or
• make content publicly available in any format.
User-generated content
Where you upload or submit content (including assignments, submissions, forum posts or feedback) through the Academy or LMS:
• you retain ownership of your content; and
• you grant us a worldwide, non-exclusive, royalty-free licence to host, store, display and use that content solely to operate, administer and improve the Website, Academy and LMS.
You confirm that any content you upload does not infringe the rights of any third party and complies with these Terms.
7) Third-party services & tools
The Website and Norale Academy may integrate or rely on third-party services and tools, including (but not limited to) learning management systems (LMS), SCORM players, hosting providers, analytics services, communication tools and payment processors.
Your use of any third-party service is subject to that provider’s own terms, conditions and policies. We do not control and are not responsible for the content, availability, performance, security or functionality of third-party platforms.
Access to courses, digital content or Academy features may depend on the availability and operation of such third-party services. We are not liable for any interruption, delay, error or limitation caused by third-party platforms, except where required by law.
8) Service availability & changes
We aim to provide reliable access to the Website, Academy and digital content, but we do not guarantee uninterrupted or error-free availability.
Access to the Website, Academy, courses or digital content may be temporarily interrupted or restricted due to maintenance, updates, security issues, technical faults, third-party service outages or legal requirements.
We may modify, update, suspend or discontinue any part of the Website, Academy, courses, digital content or features at any time where reasonably necessary, including to improve quality, accuracy, security, compliance or user experience.
Courses and digital content may be updated, amended or enhanced from time to time to keep them current and relevant. Such changes do not constitute a breach of these Terms.
Future services: We may introduce new services, features, content or offerings in the future. Any additional or service-specific terms will apply alongside these Terms.
9) Disclaimers
Educational information only
All Academy content, courses, materials, templates and resources are provided for general educational and informational purposes only. They do not constitute legal, financial, tax, safety, compliance or other professional advice.
You should not rely on Academy content as a substitute for professional advice tailored to your specific circumstances. Where appropriate, you should seek advice from suitably qualified professionals.
Examples and templates
Any examples, templates, checklists or sample materials are illustrative only and must be adapted, reviewed and used at your own discretion and risk.
No guarantees or outcomes
We do not guarantee any specific learning, professional, commercial, financial, compliance or employment outcomes as a result of using the Website, Academy, courses or digital content.
Availability and “as-is” basis
Except where required by law, the Website, Academy, courses and digital content are provided on an “as is” and “as available” basis.
Nothing in these Terms excludes or limits any rights you may have under applicable consumer protection laws.
10) Liability cap (Consumer Rights Act 2015)
Nothing in these Terms limits or excludes our liability for:
• death or personal injury caused by our negligence;
• fraud or fraudulent misrepresentation; or
• any other liability that cannot be excluded or limited under applicable law.
Subject to the above, and to the fullest extent permitted by law:
• we are not liable for any loss of profits, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, or for any indirect or consequential loss or damage; and
• we are not responsible for outcomes arising from reliance on educational content, examples, templates or resources provided through the Website or Academy.
For paid digital content, courses or subscriptions, our total aggregate liability arising out of or in connection with the relevant product or subscription shall not exceed the amount paid by you for that product or subscription in the 12 months preceding the claim.
This limitation applies whether the claim arises in contract, tort (including negligence), breach of statutory duty or otherwise.
11) Your statutory rights
Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
These rights apply in addition to the terms set out here.
12) Reporting infringement
If you believe that any content on the Website or Academy infringes your intellectual property or other rights, please contact [email protected] with sufficient details to allow us to investigate, including:
• identification of the content concerned;
• a description of the rights you believe are infringed; and
• any supporting evidence or information reasonably required.
We will review the matter promptly and respond within a reasonable timeframe.
13) Privacy & cookies
We process personal data in accordance with applicable data protection laws and our published privacy notices.
Depending on how you interact with us, your personal data may be processed under one or more of the following:
• the Website Privacy Policy and Cookie Policy, which apply when you browse the Website, submit enquiries, or interact with site features;
• the Academy / Training Privacy Notice, which applies when you create an account, enrol in courses, access learning materials, or use the LMS; and
• the Property Services Privacy Notice, which applies where we process personal data in connection with lettings, property management or other professional services.
Each notice explains how we collect, use, store and protect personal data for the relevant activity.
14) Termination
You may close your account at any time by contacting us or using available account management tools, where provided.
We may suspend, restrict or terminate your access to the Website, Academy, courses or digital content if:
• you breach these Terms;
• payment is not received or is reversed;
• we reasonably suspect fraud, misuse or unauthorised access; or
• suspension or termination is required for legal, security or operational reasons.
Termination may be temporary or permanent, depending on the circumstances.
Unless expressly stated otherwise, termination of your account or access will result in the end of any licences granted to you for Courses or Digital Content, and you will no longer be entitled to access those materials.
15) Force majeure
We are not liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control.
This includes, without limitation, acts of God, natural disasters, fire, flood, pandemic, war, terrorism, civil unrest, government action, power or internet outages, failures of hosting providers, third-party platforms or payment processors, or any other event outside our reasonable control.
16) Changes to these Terms
We may update these Terms from time to time to reflect changes to the Website, Academy, legal requirements or our services.
Updated versions will be published on the Website with a revised “last updated” date. Changes take effect from the date they are published.
By continuing to use the Website or Academy after changes are published, you agree to the updated Terms.
17) General
No waiver
If we delay or fail to enforce any right under these Terms, that does not mean we waive that right.
Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue in full force and effect.
Assignment
We may transfer or assign our rights and obligations under these Terms to an affiliate, successor or acquirer (for example, in connection with a business transfer or sale). Your rights under these Terms are not affected. You may not transfer your rights or obligations without our prior written consent.
Entire agreement
These Terms constitute the entire agreement between you and us in relation to your use of the Website and Academy, and they replace any previous discussions, correspondence or agreements relating to the same subject matter.
No third-party rights
Nothing in these Terms gives any third party any rights to enforce any term of this agreement under the Contracts (Rights of Third Parties) Act 1999.
18) Governing law & jurisdiction
These Terms, and any dispute or claim arising from or in connection with them, are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
